Mixtape Terms of Service

Welcome to Mixtape! We are building the architecture for the Curative Economy. These Terms of Service ("Terms") govern your access to and use of the Mixtape website, platform, forum, and services (collectively, the "Service"). The Service is currently operated and published by Infinitale Inc., a Delaware corporation ("Operator," "we," "us," or "our"), under license from the creators of Mixtape.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Eligibility

You must be at least 13 years of age to use the Service. By agreeing to these Terms, you represent and warrant that you meet this age requirement.

2. Accounts and Registration

To access certain features of the Service, such as creating a Mixtape page or participating in the forum, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account.

3. The Service

Mixtape provides a platform for creators to synthesize their online presence, showcase their work, and connect with a community. This includes:

  • The Canvas: A tool for creating customizable web pages ("Mixtapes") to host embeds, links, and content.
  • The Forum and Billboard: Community spaces for discussion, feedback, and showcasing work.
  • The AI Video Library: A curated collection of visual assets available for use on your Mixtapes (subject to the license terms in Section 6).

4. User Content Ownership and Responsibility

We believe strongly in creator ownership. You retain all copyrights and other intellectual property rights in and to the content you upload, post, or otherwise make available through the Service, including music, text, images, and forum posts ("User Content").

You are solely responsible for the User Content you post. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish the User Content you submit and that your User Content does not violate the rights of any third party, including copyrights, trademarks, privacy, or publicity rights.

5. License Grant to Operator

By posting User Content, you grant the Operator a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and the Operator’s business (and the business of its licensors and successors), including without limitation for promoting and redistributing part or all of the Service. This license is necessary for us to host your Mixtape, display your forum posts, and operate the Service.

6. Intellectual Property and the AI Video Library

6.1. Service IP. The Service, including its underlying technology, software, design, trademarks ("Mixtape," "Lost Mixtape"), and the Aesthetic Graph, are the exclusive property of the Operator’s licensors.

6.2. AI Video Library License. The Service provides access to a curated library of visual assets (the "AI Video Library"). These assets are the property of the Operator's licensors. We grant you a non-exclusive, non-transferable, revocable license to use the AI Video Library assets solely for the purpose of customizing the appearance of your Mixtape pages hosted on the Service.

  • (a) Restrictions: You may not download, extract, reproduce, distribute, or use the AI Video Library assets outside of the Service, sell them, or use them in a manner that infringes upon the intellectual property rights of the Operator's licensors.

7. The XP System

The Service may include a system where users earn points ("XP") through engagement, participation, and interaction on the platform (e.g., giving feedback, liking posts). XP may be used to unlock access to certain features or assets, including those in the AI Video Library. XP is not currency, has no cash value, cannot be redeemed for cash, and is non-transferable. The Operator reserves the right to modify, reset, or discontinue the XP system at any time at our sole discretion.

8. Acceptable Use Policy

You agree not to use the Service to:

  • Upload or share any content that infringes upon the intellectual property rights of others.
  • Post content that is illegal, defamatory, harassing, threatening, hateful, racist, or discriminatory.
  • Distribute viruses, malware, or other harmful computer code.
  • Engage in spamming, phishing, or other deceptive practices.
  • Attempt to gain unauthorized access to the Service or other users' accounts, or interfere with the system integrity or security.
  • Use the Service for any illegal purpose or in violation of any local, state, national, or international law.

9. Copyright Policy (DMCA)

The Operator respects the intellectual property rights of others. We will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (DMCA). If you believe that your copyrighted work has been infringed, please contact us at contact@infinitale.ai.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. You may terminate your account at any time through the account settings or by contacting us.

11. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Operator makes no representations or warranties of any kind, express or implied, as to the operation of the Service, or the information, content, or materials included therein. Use of the Service is at your own risk.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Operator (Infinitale Inc.), nor its directors, employees, partners, agents, suppliers, affiliates, or licensors, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
